1. Sponsors and Prize Provider
This sweepstakes (the "Promotion") is sponsored by Nisolo, a [Delaware Corporation]and Naadam, a [C-Corp]. The prize will be provided jointly by Nisolo (for the $500 Nisolo prize) and Naadam (for 1 Signature Cashmere Pant, 1 Lightweight Cashmere Henley) (the "Prize Providers").

2. Eligibility
The sweepstakes (the "Sweepstakes") is open only to individuals who enter through Instagram as described in Section 4 and who are at least [18] years of age at the time of entry. The Sweepstakes is open to legal residents of the United States and is void where prohibited by law. Employees of Nisolo and Naadam, their affiliates, subsidiaries, advertising and promotional agencies, suppliers, and immediate family members or individuals residing in the same household as such employees are not eligible to participate. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations.

3. Entry Period
The entry period begins at [12pm ET] on Friday, October 16th, 2026 and ends on Tuesday, October 20th, 2026 at [11:59pm ET] ("Entry Period"). All entries must be received during the Entry Period to be eligible.

4. How to Enter
During the Entry Period, eligible entrants may enter the Sweepstakes by completing all of the following steps:
(a) Follow both @nisolo and @naadam on Instagram;
(b) Tag three (3) friends in the comments of the official giveaway post 

 (c) Sign up for both the Nisolo and Naadam email lists using the links in the @nisolo and @naadam Instagram bios.

(d)1+ Extra Entry shared on Instagram Story 

Entrants must have a public Instagram account so the Sponsors can verify their entry. Limit one (1) entry per person, regardless of the number of comments submitted. Any attempt to use multiple accounts, email addresses, or identities, or any automated entry method, will void all entries by that person.

5. Agreement to Rules
By entering, participants agree to be fully and unconditionally bound by these rules and represent and warrant that they meet the eligibility requirements. In addition, participants agree to accept the decisions of the Sponsors as final and binding in all matters related to the Sweepstakes.

6. Winner Selection & Notification
One (1) winner will be selected at random from among all eligible entries received during the Entry Period. The winner will be selected via random drawing under Sponsor supervision. The winner will be notified by Instagram direct message from the official @nisolo or @naadam account and/or by email within two (2) days of the drawing, and must respond within [48 hours] to claim the prize. The Sponsors will never ask the winner for payment or banking information; any message requesting this is not from the Sponsors. The Sponsors are not responsible for winners failing to receive notices due to spam, junk email, message filtering, incorrect contact information, or other technical issues. If the winner cannot be contacted or fails to comply with these rules, an alternate winner may be selected. Violations of these rules may result in disqualification and loss of any awarded prize.

7. Prize Description & Conditions
One (1) winner will receive:
One (1) $500 Nisolo [gift card], redeemable at nisolo.com.
One (1) Naadam Lightweight Cashmere Henley  (approximate retail value: [$178.00]) 

One (1) Naadam Signature Cashmere Pant(approximate retail value: [$228.00]).

Total approximate retail value of the prize: [$906.00].

The prize is not guaranteed to any participant, and odds of winning depend on the number of eligible entries received. Prizes are non-transferable, non-refundable, and cannot be exchanged for cash or any other prize substitution unless otherwise agreed by the Sponsors. The winner is responsible for any applicable taxes.

8. Publicity & Use of Likeness
Except where prohibited, by accepting a prize, the winner grants the Sponsors and their designees the right to use his/her name, Instagram handle, voice, likeness, city/state of residence, biographical information, and prize details for advertising and promotional purposes in any and all media now known or hereafter developed, worldwide, in perpetuity, without additional compensation.

9. Release & Limitation of Liability
By participating in the Promotion, entrant agrees to release, defend, indemnify and hold harmless the Sponsors, Prize Providers, their respective parents, affiliates, subsidiaries, advertising & promotion agencies, and prize suppliers (the "Released Parties") from and against any and all liability, claims, losses, damages, injuries or costs of any kind arising out of or in connection with participation in the Promotion or the acceptance, possession, use or misuse of any prize, including but not limited to any technical failure, unauthorized intervention, printing error, lost/delayed entries, incorrect winner notification or prize delivery, or damage to entrant's computer or mobile device due to participation. The Released Parties are not responsible for any typographical or other error in the printing, offering or administration of the Promotion or in the announcement of the prize or winners. To the fullest extent permitted by law, the Released Parties' liability to any entrant shall be limited to the entrant's cost of entry.

10. Privacy
By entering the Promotion, entrant consents to the collection, use and disclosure of their personal information by the Sponsors for purposes of administering the Promotion and, where the entrant has signed up, for marketing and promotional purposes in accordance with the Sponsors' respective privacy policies. Entrants may unsubscribe from either Sponsor's emails at any time.

11. Termination, Modification & Force Majeure
The Sponsors reserve the right, in their sole discretion, to cancel, terminate, modify or suspend this Promotion (or any portion thereof) if fraud, technical failures, tampering, unauthorized human intervention, or any other cause beyond the Sponsors' control corrupts or affects the administration, security, fairness or proper conduct of the Promotion. In such event, the Sponsors may choose the winner from among all eligible entries received prior to the termination or as otherwise deemed fair by the Sponsors.

12. Governing Law & Disputes
This Sweepstakes is governed by the laws of the United States and the State of [New York], without regard to conflict of law principles. Any legal action or proceeding arising out of or relating to this Sweepstakes shall be brought individually and exclusively in a state or federal court located in [New York County, New York].

By participating, entrants consent to the jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue on the grounds of inconvenience or otherwise. Participants further waive the right to claim any punitive, incidental, or consequential damages, or attorney's fees, and agree that all causes of action shall be resolved individually, without resort to any form of class action.

13. Social Media Disclaimer
This promotion is in no way sponsored, endorsed, or administered by, or associated with, Instagram, Meta, Facebook, or any other social media platform. Participants understand that any information provided is to the Sponsors and not to Instagram or Meta.

14. General Conditions
By participating, entrant agrees to accept and abide by these Official Rules and the decisions of the Sponsors, which are final and binding in all respects. A winner's name may be obtained by sending a self-addressed, stamped envelope to: [address] within [30] days after the end of the Entry Period. The Sponsors are not responsible for lost, delayed, or undeliverable entries, misdirected prize notifications, or any technical malfunction. The invalidity or unenforceability of any part of these Official Rules shall not affect the validity of any other portion thereof.

15. Affidavit & Release
Where legally permissible, the winner may be required to sign and return within [number] days an Affidavit of Eligibility and a Liability/Publicity Release, and comply with any tax reporting requirements. If the winner fails to return required documents in time, the prize may be forfeited and an alternate winner selected.
